企業合同管理的意義及背景

企業合同管理,是指企業按照合法、合規、科學的標準,對企業合同的草擬、修改、審査、簽署、履行、爭議糾紛處理以及保管、歸檔等內容進行規範化管理的活動,達到防控企業法律風險,維護企業合法權益的目的。根據《企業內部控制應用指引16號合同管理》(財會(2010)11號)及財政部會計司的有關解讀,合同管理可以分為合同訂立階段的管理和合同履行階段的管理兩個階段,合同訂立階段包括合同調查、合同談判、合同文本擬定、合同審批、合同籤置等環節,合同履行階段包括合同履行、合同補充和變更、合同結算、合同登記等環節。
