POWER OF ATTORNEY The customer who is a signatory to this agreement in hereby authorizes the agent named to act as his or her agent to perform trading (include buy and sell) of customer account and any other relevant actions that is deemed necessary to manage the allocated fund in customer accounts with Pruton Capital. The customer agreed to grant the authority to the agent to perform trading in Foreign Exchange Contracts the trading is permitted to be carried out on margin.
簽署此協議的客戶授權指定代理人作為他/她的代理人來執行該客戶賬戶的買賣交易和其它必要相關操作，以管理分配在 Pruton Capital 客戶賬戶下的資金。該客戶同意授權該代理人進行外匯合約交易，且允許按保證金交易。
In entering into this agreement, the customer hereby explicitly agrees to the terms stated in the customer agrees to accept the risk that is associated with trading on margin and Pruton Capital is not to be held liable or responsible any losses from such trading. Trading is inherently risky and customers undertake to assume the risk associated with trading of any financial products on the platform. In particular, the customer understand that trading on margin can resulted in severe drawdown of the account and may result in partial or total loss of the capital and Pruton Capital is hereby absolved from any liabilities and losses associated with trading performed on the customer account.

Further, Pruton Capital will not take any responsibility for any representation or warranties made by the agents to customers including but not limited to the trading methods, risks, strategies, experience and qualifications of the agents. The customer hereby acknowledges that the agent had provided frank and fair disclosure and the cutomer had perused all the disclosure documents and written statement and thereby expressly or impliedly consented to assume any risk associated with entering into the arrangement with the agent. Customers understands that the agents are acting under the instruction and arrangement with customers and Pruton Capital is merely following the instructions conveyed by the agents and hereby absolved itself from any liabilities and losses caused by adhering to the instructions provided by the agents.
此外，Pruton Capital 不會對“代理人向客戶承諾的的各種申明和保證”負有任何責任，包括但不限於代理人的交易方法、風險、策略、經驗和資質。客戶在此須承認代理人提供清晰和公正的公告，且客戶已仔細閱讀相關公告文件和書面申明，並明確或默認同意與代理人簽署本協議的相關風險。客戶須理解：代理人在客戶的指示和安排下執行操作，且 Pruton Capital 僅僅按照代理人發出的指令進行操作且免於承擔“按照代理人指令操作”相關的責任和損失。
As the customer had authorized and consented to the operating and trading methods employed by the agents, the customer hereby agree indemnify Pruton Capital for any damage, expenses and liability sustained as a result of adhering to the instruction given by the agents to Pruton Capital. In this regard, the customers affirm and confirm that the instructions given by the agent are in furtherance of the trading account management pursuant to the agreed arrangement between the client and the agent. The customer hereby authorized the agent to request any information associated with the customer account and Pruton Capital shall provide any information required by the agents.
因為客戶已授權並同意代理人的操作和交易方式，客戶須同意 Pruton Capital 免於承擔“代理人向Pruton Capital 發出指令”所導致的任何損失、費用和責任。據此，客戶須確定並肯定代理人發出指令是依照客戶與代理人雙方認可的協議，且有助於交易賬戶的管理。客戶特此授權代理人向 Pruton Capital 索取客戶賬戶相關的任何信息，且 Pruton Capital 須提供代理人所需的任何信息。
Pruton Capital will not be held liable for any liabilities associated with the release of such information to the agent and will not be responsible for any subsequent privacy infringement. The customer is solely responsible to make arrangement with the agent with regard to agent’s fess, commission, incentive and management and performance fees. Pruton Capital only serves as a trading platform for the agent and does not in any manner whatsoever involve in the agent’s charges toward customers. Customer is solely responsible to pay the agents any agent fees and commission and any relevant charges that had been disclosed and agreed upon with the agent. Customer is responsible to monitor the trading account and had the duty to inform Pruton Capital about any discrepancies in such account and Pruton Capital is not to be put to bear the responsibility of monitoring the customer account. The customer shall bear the responsibility to undertake due diligence to monitor the details of customer account including but not limited to the overall management of the account, the account statement and withdrawal from the account. Pruton Capital shall not be liable for any losses and mishaps that occurred due to the agent mismanage or mishandling the customer account.

The customer authorized the agents to sign and come into any agreement with Pruton Capital in managing, trading and execution of the trading account. The customer is solely responsible to ensure that the agent come into any agreement with bona fide intention and good faith and Pruton Capital is not liable and shall be absolved from any responsibility or liability arose from the agreement being entered into with the agent. This POA supersede any prior oral or written agreement or oral communication, representation or agreements between customers and Pruton Capital.

TERMS AND CONDITIONS 條款
Both parties hereby agree to the fees and commission stated as below:

SECTION 1: ACCOUNT HOLDER’S AUTHORIZATION OF AGENT’S POWERS

I hereby agreed and fully authorize PRUTON to manage and trade on behalf of my Investment Portfolio.

I authorize PRUTON to take such action as PRUTON deems necessary to carry out instructions PRUTON receives from me and/or Agent. I further authorize PRUTON, in its sole discretion and for whatever reason, to request by my Agent. I hereby authorize them to act alone and without the consent of the other Agent or Agents. With respect to the powers granted. In addition, I hereby authorize PRUTON, in its sole discretion, to restrict my Account from further activity in the event the Agents enter conflicting or inconsistent instructions.

I understand the conditions and risk of not to trade/speculate the Forex investment portfolio by me or associate members in PRUTON and granted PRUTON full access to my trading account and trade/speculate the said portfolio.
